Terms of Service

Last updated October 23, 2026.

These Terms are an agreement between you and Rae Ridge Holdings, LLC, a Tennessee limited liability company doing business as StakeSpade ("StakeSpade," "we"). They govern your use of stakespade.com, our permit and bid alerts, emails, exports and related services (the "Service"). By checking the "I agree" box at signup or using the Service, you accept these Terms. If you accept on behalf of a company, you confirm you have authority to bind it, and "you" means that company.

1. What the Service is

StakeSpade collects publicly available records (such as building permits, bids and procurement notices) published by government agencies and delivers them to subscribers as alerts and summaries. We do not create the underlying records. The Service is a business-to-business tool for professional use.

2. Public-source data, provided "as is"

a. Source. Alert content comes from public sources run by third parties, including cities, counties and other agencies ("Agencies"). Agencies may publish records late, incompletely, or with errors, and may change or withdraw them at any time. We may also introduce errors in collecting, processing or summarizing data.

b. As is. THE SERVICE AND ALL DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS.

c. You must verify. You must verify any record directly with the issuing Agency before relying on it for any bid, pricing, investment, hiring, legal, safety or other decision. Alerts are leads, not official records.

d. No reliance. You agree that you do not rely on the Service as an official, complete or current record, and that you make your own decisions at your own risk.

3. No warranty

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS AND TIMELINESS. We do not warrant that the Service will be uninterrupted, error-free, or that any alert will be delivered, or delivered on time.

4. No affiliation or endorsement

StakeSpade is an independent private service. We are not affiliated with, endorsed by, sponsored by, or acting for any Agency. Agency names are used only to identify the source of data. No Agency is responsible for the Service.

5. Source attribution

Each alert identifies its source Agency or portal. Some sources require specific credit lines or license notices, which we include. You may not remove or alter source attributions or notices in material you receive from us. Source data remains subject to any terms the publishing Agency applies to it.

6. Limitation of liability

a. TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, IN ANY THEORY (CONTRACT, TORT, NEGLIGENCE, STATUTE OR OTHERWISE), IS LIMITED TO THE FEES YOU ACTUALLY PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

b. WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST BIDS OR CONTRACTS, LOST REVENUE, LOST DATA OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THEIR POSSIBILITY.

c. These limits apply even if a remedy fails of its essential purpose, and do not limit liability that cannot be limited by law.

7. Your indemnity

You will defend, indemnify and hold harmless StakeSpade and its members, managers, contractors and agents from any claim, demand, loss, liability, damages, fine, cost or expense (including reasonable attorneys' fees) brought by a third party, including any Agency, arising out of or relating to: (a) your use of, or reliance on, the Service or any data; (b) your breach of these Terms; (c) your violation of any law or third-party right, including telemarketing, privacy and anti-spam laws; or (d) any data or material you redistribute. We may control the defense of any claim at your expense, and you will not settle a claim that imposes obligations on us without our written consent.

8. Subscriptions, billing, auto-renewal and cancellation

a. Plans. The Service is sold by subscription on the plan and price shown at checkout. Prices shown at checkout control if they differ from this summary. A metro is a city or county area listed on our Coverage page; a market is a public-bid source area listed on the Coverage page. Permit plans are priced per metro: $49/month per metro and $79/month per large metro, plus applicable taxes. If one subscription includes more than 5 metros, the 5 highest-priced metros are charged at full price and each additional metro is 20% off ($39/month per metro or $63/month per large metro). The 3 Metros plan is $119/month for any 3 metros, and it may include large metros; if you pick 2 or more large metros and the 3 Metros plan costs less, checkout uses the 3 Metros plan. All Metros is $1,299/month. Bids are $12/month per market. Yearly plans cost 10 times the monthly total, figured after the 20% multi-metro discount and plan pricing above (for example, All Metros is $12,990/year); promo codes are applied separately at checkout. Large metros are areas averaging 3,000 or more permits per month, based on the most recent permit data we have for that area (up to the prior 12 months) at each review. Our pricing section and Subscribe page list which metros are large. We review tiers quarterly. If a metro you subscribe to moves to a higher tier, your price goes up only after notice under section 8f, and you may cancel before the increase takes effect. If it moves to a lower tier, your price goes down at your next renewal without notice.

b. Payment. Payments are processed by Stripe. You authorize us (through Stripe) to charge your payment method for all fees and applicable taxes. We do not store full card numbers.

c. AUTO-RENEWAL. YOUR SUBSCRIPTION RENEWS AUTOMATICALLY AT THE END OF EACH BILLING PERIOD (MONTHLY OR ANNUAL, AS SELECTED) FOR THE SAME PERIOD, AND YOUR PAYMENT METHOD WILL BE CHARGED THE THEN-CURRENT PRICE, UNTIL YOU CANCEL.

d. Cancellation and reminders. You can cancel anytime online from your Account page (no call or email needed), or by emailing hello@stakespade.com. Cancellation takes effect at the end of the current billing period, and you keep access until then. For yearly plans, our payment processor, Stripe, emails you on our behalf 15 to 45 days before each renewal with the renewal date, the amount we'll charge, and how to cancel. Stripe also emails you a receipt for each payment, including your first purchase.

e. Refunds. Refunds are handled under our Refund & Cancellation Policy, which is part of these Terms. In short: your first payment for a new subscription is refundable in full if you ask within 7 days; otherwise fees are non-refundable except where required by law.

f. Price changes. We will give at least 30 days' email notice of a price change, effective at your next renewal. You may cancel before it takes effect.

g. Failed payments. If a payment fails, we may suspend the Service until it is paid.

h. Promotions and discount codes. A discount code applies only as stated when you apply it (for example, a percentage off for a set number of months). When the promotional period ends, your subscription renews at the regular price for your plan shown at checkout, unless we tell you otherwise. Codes have no cash value, may be limited in number of uses or by date, can't be combined unless stated, and can't be applied after purchase. We may refuse or cancel a code obtained or used in violation of its terms.

9. Acceptable use

You will not, and will not let anyone else:

a. use the Service or any data for consumer telemarketing, including calls, texts or prerecorded messages to individuals or households, or any marketing that violates the TCPA, the Telemarketing Sales Rule, Do-Not-Call rules, CAN-SPAM or similar state laws;

b. resell, sublicense, redistribute, publish or share alerts or data, in bulk or systematically, or build a competing product or database from them (internal use within your own business is allowed);

c. use data to harass, stalk or discriminate against anyone, or for any purpose regulated by the Fair Credit Reporting Act (credit, employment, insurance or tenant screening);

d. scrape, crawl or bulk-download the Service, share login credentials, or exceed plan limits;

e. interfere with, probe or reverse engineer the Service; or

f. use the Service in violation of any law or any Agency's terms that apply to you.

We may suspend or terminate accounts that violate this section, without refund.

10. Accounts

You are responsible for your account credentials and all activity under your account. Give us accurate account and billing information and keep it current.

11. Our rights

We and our licensors own the Service, software, design, compilations, summaries and branding (but not underlying public facts). Subject to these Terms and payment, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business purposes during your subscription.

12. Changes and termination

We may change, add or remove sources or features at any time; sources may become unavailable without notice. We may update these Terms by posting a new version and emailing you; material changes take effect at your next renewal that is at least 30 days after we email you, unless you agree sooner. If you don't agree, you can cancel before the change takes effect. Either party may terminate as described in Section 8. Sections 2–7, 9, 11, 13 and 14 survive termination.

13. Governing law and disputes

These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law rules. Any dispute will be brought exclusively in the state or federal courts located in Rutherford County, Tennessee, and both parties consent to that jurisdiction.

14. General

These Terms are the entire agreement on this subject. If any part is unenforceable, the rest remains in effect, and the unenforceable part will be enforced to the maximum extent allowed. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We are not liable for delays caused by events beyond our reasonable control, including Agency outages or data changes.

15. Communications

You agree that StakeSpade may email you about your account and the service. Marketing emails about our other businesses and brands are sent as described in the Privacy Policy, and you can unsubscribe at any time.
